2. Use of the Website

Appnowa provides automation consultancy services including, but not limited to: lead capture and qualification automation, CRM setup and automation, follow-up workflow design, appointment scheduling systems, reporting and document generation, and custom workflow builds.

The specific scope, deliverables, timeline, and fees for any engagement are agreed upon separately in a written proposal or service agreement between Appnowa and the client. These Terms apply to all such engagements unless otherwise explicitly stated in writing.

4. Booking and Enquiries

When you submit an enquiry, book a discovery call, or request an audit through our website, you are expressing interest in our services. This does not constitute a binding contract. A formal engagement only begins once both parties have agreed in writing to a scope of work and any applicable fees.

We reserve the right to decline any enquiry or engagement at our sole discretion.

5. Fees and Payment

Fees for our services are determined on a per-project basis and communicated in a written proposal. Unless otherwise agreed:

• Invoices are due within the timeframe stated on the invoice
• Payments are non-refundable once work has commenced, unless otherwise agreed in writing
• Late payments may result in suspension of work until outstanding amounts are settled
• All fees are exclusive of applicable taxes unless stated otherwise

We reserve the right to update our pricing. Any changes will not affect engagements already confirmed in writing.

6. Client Responsibilities

To enable us to deliver our services effectively, you agree to:

• Provide accurate, complete, and timely information, access, and approvals as reasonably required
• Ensure you have the legal right to share any data, credentials, or materials provided to us
• Review and test deliverables within any timeframes agreed upon
• Notify us promptly of any issues, changes in requirements, or concerns

Delays or failures on your part to fulfil these responsibilities may affect our ability to deliver within agreed timelines and may result in additional fees.

7. Third-Party Tools and Platforms

Our services frequently involve the configuration and integration of third-party platforms (including Zapier, Make, GoHighLevel, Close, Notion, and others). You acknowledge that:

• We are not responsible for the performance, availability, or terms of any third-party platform
• Third-party platforms may change their features, pricing, or terms at any time, which may affect your automation workflows
• You are responsible for maintaining any third-party accounts, subscriptions, and costs associated with those platforms
• We will not be liable for any loss or disruption caused by changes to or failures of third-party services

8. Intellectual Property

Unless otherwise agreed in writing, upon receipt of full payment for a project:

• Any custom automation workflows, documentation, and configurations built specifically for you become your property
• Appnowa retains ownership of any proprietary methodologies, templates, frameworks, or know-how used or developed in delivering the services
• You grant Appnowa a non-exclusive licence to use any materials, data, or access you provide solely for the purpose of delivering the agreed services

All content on our website, including text, graphics, and branding, is owned by or licensed to Appnowa and may not be copied or used without our prior written permission.

9. Confidentiality

Each party agrees to treat as confidential any non-public information received from the other party in connection with the services, and not to disclose it to third parties without prior written consent, except as required by law.

This obligation of confidentiality survives the termination of any engagement.

10. Limitation of Liability

To the fullest extent permitted by applicable law, Appnowa shall not be liable for any indirect, incidental, consequential, or special loss or damage arising out of or in connection with our services or website, including but not limited to:

• Loss of revenue, profit, or business opportunity
• Loss or corruption of data
• Business interruption
• Failures or changes in third-party platforms or tools

Where liability cannot be excluded by law, our total liability to you in connection with any single engagement shall not exceed the fees paid by you to us for that engagement in the three months preceding the claim.

11. No Guarantee of Results

While we apply professional care and expertise to every project, we do not guarantee specific business outcomes, such as revenue increases, lead volumes, or conversion rates. The results of automation depend on many factors outside our control, including your business processes, market conditions, and the behaviour of third-party tools.

12. Termination

Either party may terminate an engagement by providing written notice as specified in the relevant project agreement. In the absence of a specific agreement:

• Either party may terminate with 14 days written notice
• You remain liable for payment for all work completed up to the date of termination
• Appnowa may terminate immediately if you breach these Terms or act in a manner that is harmful, fraudulent, or unlawful

13. Disclaimer of Warranties

Our website and services are provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the website will be uninterrupted, error-free, or free of harmful components.

14. Governing Law

These Terms are governed by and construed in accordance with applicable law. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts relevant to Appnowa's place of business, unless otherwise agreed in writing.
